Call to Order:
Supervisor Herendeen called the meeting to order at 7:05pm.
Board Members Present:
Supervisor Michael Herendeen, Clerk Rose Brown, Treasurer Carolyn Stevens, Trustee Richard Semans
and Trustee Gary Kiger

Motion to Approve Agenda:
Trustee Semans made a motion to approve the agenda with the following adjustments: 1. Strike Road
Projects approval replace with Resolution 2020-04 Authority to pay bills 3. Strike approve May bills
and replace with Road Ballot Language. Treasurer Stevens seconded the motion.

Motion to Approve Minutes:
Treasurer Stevens made a motion to approve the minutes from the March 11, 2020 as presented.
Trustee Kiger seconded the motion.
Yes: All Nay: None Carried
Motion to approve Bills
Treasurer Stevens made a motion to approve General Funds in the amount of $7,126.26 ck # 5213-
5230, and 2 EFTs. Clerk Brown seconded the motion.

OMESA: Short meeting due to the social distancing and planning on using zoom for next OMESA
meeting.
Library: Zoom Meeting used for library. Short meeting with just the basic bill paying.

1. Resolution 2020-04: Authority to Pay bills without Meeting
Treasurer Stevens offered the resolution 2020-04 and supported by Trustee
Semans.

AUTHORITY FOR PAYMENTS WITHOUT MEETING
WHEREAS Middlebury Township currently issues checks for the payment of its debts,
obligations, vendor invoices, and payroll charges following approval at one of its duly
constituted meetings; and
WHEREAS there are occasions when it becomes impossible to convene a meeting in time
to authorize the necessary payment of one or more such debts, obligations, vendor invoices
and/or payroll charges; and
WHEREAS an example of such a situation, currently in effect, has followed upon the
Michigan Governor’s Executive Order No. 2020-42 which generally suspends all in-person
activities that are not necessary to sustain or protect life, to support such businesses and
operations that are necessary stay protect life, or to provide the minimum basic operations for
necessary government activities, such Executive Order No. 2020-42 having been issued in the
course of a declared State of Emergency in response to slowing the spread of the novel
coronavirus disease (COVID-19); and
WHEREAS, the Township desires to provide for the timely payment of its debts,
obligations, vendor invoices, and payroll charges in situations where a duly-constituted meeting
cannot be held prior to such approval:
THEREFORE BE IT RESOLVED that where a duly-constituted meeting cannot be held in time
for prior approval of the payment of the Authority’s debts, obligations, vendor invoices, and/or
payroll charges, approval of such payments is delegated and authorized as follows:
(1) The Township Clerk or the Treasurer will submit all bills to all trustees, recording
secretary, as have valid email addresses; and
(2) After two days for comment or objections, bills may be approved by signature on
each check by both the Treasurer and Township Clerk and each of their signatures
with the Supervisor's signature on the full listing to be posted on the website; and
(3) Any other terms: None____________________________________________

and that further, all payments approved and paid in such manner shall be presented to the
Board for ratification at its next immediate duly-constituted meeting.

The Chair declared the Resolution adopted.

2. Land Swap Update The land swap is completed and filed with the county register of
deeds. Herendeen asked to verify that all paperwork is completed for both parties.
The board discussed future plans of the land that was swapped.
3. Ballot Proposal for Road Millage The ballot proposal for is written for 5 years.
Treasurer Stevens stressed that this is not an increase in taxes and the board need
to communicate this to the public. A resolution will be created to be adopted in
May’s meeting.

Stevens asked questions about March’s minutes for clarifications. Clerk Brown stated when she will be
submitting forms for elections. Kiger asked about ambulance service in Middlebury township.
Herendeen clarified due to the mutual aid rule, dispatch will send the closest ambulance service.
